Terms of Service
Agreement to These Terms
These Terms of Service form an agreement between you and Eldvik Partners LLC for the use of this website and for any seat booked at the review bench. By visiting the site, sending an intake note or taking a seat, you accept these terms. If you do not accept them, please do not use the website or book a reading.
A client organisation that books a seat confirms that the person making the booking is authorised to act for that organisation. Where a separate written contract has been signed for a particular project, that contract governs the project and these terms fill any gap it leaves.

Services Described
The bench offers six services: Manuscript Review Desk, Markup Round Weeks, Minute Record Sessions, Citation Audit Days, Panel Liaison Hours and Archive Review Evenings. Each service is described in more detail on the services page, and the description there forms part of these terms.
A reading is a professional editorial and technical review of a systems design manuscript. It produces marks, a memo, a minute record and a register of checked sources. It does not produce a certification, a regulatory approval or a guarantee of acceptance by any panel, customer or authority. The bench reports what it finds; the author decides what to change.
We may adjust the scope of a service to fit a manuscript, provided the change is agreed in writing before the reading begins. Where a manuscript is substantially larger than described at intake, the clerk will ask whether to extend the window or to reduce the reading to a stated part of the package.
Booking a Seat
A seat is booked when the clerk confirms a seat number and a reading window in writing. An enquiry alone does not reserve a seat, and a window offered in a note expires after five working days unless the client confirms.
To confirm a seat, the client sends the manuscript, names the audience and the deadline, and identifies one person who can answer questions about the document. The clerk records these details in the register. Where a deadline is critical, the client should say so at intake so that the bench can check capacity before promising a date.
We accept bookings for a single reading or for a sequence that includes a round week and a later archive evening. Seats are held in the order that written confirmations arrive.
Fees and Payment
Fees are quoted for a reading window rather than by page count, so that a dense systems package is not penalised for its density. A quote states the services included, the window dates and any disbursement such as travel that may be agreed in advance.
Unless a contract says otherwise, an invoice is issued on confirmation of a seat and is payable within fifteen days. Work may be paused if an invoice remains unpaid after the due date and after a reminder has been sent. Archive review evenings are invoiced after the session and minute entry are delivered.
Fees do not include any charge imposed by a third party, such as a courier or a meeting service. Any such charge is passed on at cost with a receipt. Where a client is required by law to withhold tax, the client should tell the clerk so that the invoice can be adjusted.
Cancellation and Rescheduling
A client may reschedule a seat once without charge if the request reaches the clerk at least five working days before the window opens. A request inside that period may be accepted where capacity allows, but the bench may charge for time already held.
If a client cancels before the window opens, the bench keeps any work already completed and refunds the balance. If a client cancels after the window has opened, the bench keeps the fee for the completed portion and returns any unused part, less the cost of preparing the seat.
If the bench must cancel or move a window, the clerk will offer the nearest alternative date and will not charge for the change. Where no alternative suits the client, any fee paid for the cancelled reading is returned in full.
Client Responsibilities
The client is responsible for the accuracy of the manuscript and for the authority to share it. The client should not send material that belongs to another party without permission, and should tell the bench about any confidentiality obligation that applies to the content.
The client should answer marks during the round window within the times agreed, because a round week depends on a steady exchange. Where the client is late in answering, the bench may close the window on the stated end date and record the open marks in the minute entry.
The client is also responsible for deciding what to change. The bench will explain why a mark was raised, but the decision to accept or reject a mark belongs to the author. Rejected marks are recorded with the author reason so that the record remains complete.
Manuscript Rights
The client keeps all rights in the manuscript and in any material sent to the bench. Booking a seat does not transfer ownership of the text, drawings or data. The bench holds the material only for the purpose of the reading.
The client grants the bench a limited licence to copy, mark, store and, where a panel is named, share the material for the duration of the agreed work. That licence ends when the final minute entry is delivered, apart from the retention described in the privacy policy.
The bench keeps its own marks, memos, minute records and audit registers, and may reuse the method and wording of those documents in later work, provided no client material or identifying detail is included.
Bench Output and Records
A completed reading produces a marked copy, a memo from the desk, a minute record and, where applicable, a register of checked sources. These are delivered in electronic form, and a sealed archive stamp is added if the reading includes an archive evening.
The bench output reflects the manuscript as it stood on the day of reading. It does not account for changes made afterwards unless a further reading is booked. The client should keep its own copy of every document delivered.
Minute records are the formal record of what was decided. Where a client believes an entry is inaccurate, the client may write to the clerk within thirty days and the bench will correct the entry, noting the correction and its date.
Confidentiality
The bench keeps client material confidential and shares it only as described in the privacy policy and in these terms. Staff and reviewers sign a written undertaking before taking a seat, and access to working copies is limited to the people assigned to the reading.
The client should also keep bench output confidential where it contains an assessment of the manuscript. The output is written for the client and the named panel, and the bench does not authorise wider distribution without a written request.
Confidentiality does not prevent either party from disclosing information that a court or a regulator compels it to reveal, provided the party gives notice where the law allows and co operates in any request for protection.
Acceptable Use of the Website
You may use this website to learn about the bench and to get in touch. You may not attempt to break the site, to copy it wholesale, to inject malicious code or to use the contact form for unsolicited advertising. Automated submissions that place load on the site are not permitted.
You may not represent yourself as another person when sending a note, and you may not use the bench or the website for any activity that breaks the law. Where a note appears to be fraudulent, the clerk may hold the enquiry and ask for confirmation of identity.
We may suspend access to the website for anyone who breaks these rules, and may report serious misuse to the relevant authority.
The contact form prepares a message in your own mail program rather than sending it to a server, so the content of a note is held by your email provider as well as by the bench. You should send only the material that the reading needs, and you should avoid including passwords, access tokens or other credentials in a note. Where a manuscript is large, the clerk will supply a secure folder link so that the pages do not travel through ordinary email.
No Legal or Regulatory Advice
The bench provides technical editorial review. It does not provide legal advice, tax advice, regulatory advice or an opinion on compliance with any particular standard. A mark that asks about the basis of a claim is an editorial question, not a legal opinion, and the client should seek professional advice where a legal question arises.
Similarly, a citation audit checks whether a source supports a sentence. It does not certify that a source is authoritative, that a standard applies to the client, or that the manuscript meets a regulatory requirement. Those conclusions belong to the client and to its advisers.
Third Party Material
The manuscript may include material owned by a third party, such as vendor documentation, a standard or an extract from another publication. The bench handles that material as part of the manuscript but does not grant any right to reuse it, and the client is responsible for any licence that is required.
Third party links on this website are provided for convenience. We do not control the content of those sites and we are not responsible for their practices or their availability.
Intellectual Property in the Website
The design, text, layout and code of this website belong to Eldvik Partners LLC or are used with permission. You may read the site and print a copy for personal reference. You may not reproduce the design or the text for commercial use without written permission from the company.
The name Eldvik Partners LLC and the bench marks shown on the site are used by the company. Nothing in these terms grants a licence to use those marks.
Limitation of Liability
The bench delivers a professional reading with care, but it cannot guarantee a particular outcome. To the fullest extent allowed by law, the company is not liable for lost profit, lost opportunity, loss of reputation or any indirect loss arising from the use of the website or from a reading.
Where liability cannot be excluded, the total liability of the company for any claim arising from a reading is limited to the fee paid for that reading. Nothing in these terms limits liability for fraud, for death or personal injury caused by negligence, or for any liability that the law does not allow to be limited.
The client is responsible for keeping a backup of every manuscript sent to the bench. The company is not liable for a mistake in the manuscript, for a decision taken on the strength of a reading, or for any change made by the client after the reading ends.
A reading is a second opinion offered in good faith. It does not replace the judgement of the author, the client team or any technical authority that approves the system. Where a client relies on a mark or a minute entry, the client should confirm the underlying facts against its own records before making a change to a live system.
Indemnity
A client agrees to indemnify Eldvik Partners LLC against any claim, loss or cost arising from material the client was not entitled to send, from a breach of a third party right, or from a use of the website that breaks these terms or the law.
The company will give notice of any claim it receives and will allow the client to take part in the defence where that is reasonable. The client may not settle a claim in a way that admits fault on the part of the company without written agreement.
This indemnity does not apply where the claim arises from the negligence or wilful misconduct of the company, and it is reduced to the extent that the loss was caused by the company. A client that becomes aware of a possible claim should tell the clerk promptly so that the bench can preserve the records that may be needed.
Termination
Either party may end a booking as described in the cancellation section. The company may end access to the website immediately where these terms are broken, and may decline a future reading where a client has repeatedly failed to pay or has misused the bench.
Ending a booking does not remove obligations that by their nature survive, including confidentiality, intellectual property, limitation of liability and governing law. Records already created are kept as described in the privacy policy.
Events Outside Our Control
The company is not liable for a delay caused by an event outside its reasonable control, such as a natural disaster, a failure of a power or network provider, a public health restriction or a government order. The clerk will tell the client as soon as the bench becomes aware of such an event.
Where the event lasts more than thirty days, either party may end the affected booking and the company will return any fee paid for work it has not carried out.
Governing Law and Disputes
These terms are governed by the laws of the State of Utah, United States, without regard to conflict of law rules. The parties will first try to resolve any dispute through a written discussion between the client contact and the clerk.
If a dispute is not resolved within thirty days, the parties agree to the exclusive jurisdiction of the courts located in Salt Lake City, Utah. Before beginning a formal step, each party will consider a short mediation, and a party that wins a claim may recover reasonable costs where the law allows.
Changes to These Terms
We may update these terms to reflect a change in the bench, in the law or in the way we work. A new version carries a new date at the top. Where a change materially affects an open reading, the clerk will send a note to the client contact before the change takes effect.
A booking made before a change is governed by the terms in force when the seat was confirmed, unless the client agrees to the new version. Continued use of the website after a change means the new version applies to future visits.
